The Website is operated by DalMaydi (“DalMaydi”, “we”, “us”, or “our”).
By accessing, browsing, using, downloading from, submitting information through, or otherwise interacting with the Website, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. PURPOSE OF THE WEBSITE
DalMaydi is a producer and wholesale supplier of Somali-origin frankincense, myrrh, essential oils, raw resins, and related botanical materials.
The Website is primarily intended to provide information about DalMaydi, our products, sourcing, origin, capabilities, distribution opportunities, wholesale supply, and business partnerships.
The Website is intended primarily for wholesalers, distributors, importers, manufacturers, formulators, fragrance houses, cosmetic businesses, wellness businesses, professional buyers, and other business-to-business customers.
The Website is not intended to operate as a consumer retail ecommerce storefront.
Product information displayed on the Website does not constitute a binding offer to sell.

- Downloadable materials;
- Original data compilations;

3. STRICT PROHIBITION ON COPYING, CLONING, OR IMITATING DALMAYDI
The Website has been developed as a distinctive digital presentation of the DalMaydi brand.
Except with DalMaydi’s prior written permission or where a particular use cannot lawfully be restricted, you may not reproduce, copy, duplicate, republish, adapt, commercially exploit, or create derivative works from protected DalMaydi Website materials.
In particular, you must not use DalMaydi Website materials to create, develop, redesign, improve, market, or operate a competing or substantially similar website, business presentation, brand identity, catalogue, landing page, sales presentation, or digital experience.
This prohibition applies especially to competitors, suppliers, agencies, developers, designers, consultants, contractors, employees, or other persons acting directly or indirectly for a competing business.
Prohibited conduct includes, without limitation:
Website Cloning
Copying or substantially reproducing protected elements of the Website’s original page compositions, visual presentation, graphics, content arrangements, or custom components.
Content Copying
Copying, rewriting, lightly paraphrasing, translating, spinning, adapting, or republishing DalMaydi’s original written content for commercial use without authorization.
Visual Asset Misappropriation
Downloading, copying, photographing, screen-capturing, extracting, republishing, modifying, or commercially using DalMaydi-owned photographs, product images, graphics, illustrations, icons, videos, or other visual materials.
Competitive Replication
Using DalMaydi’s protectable creative expression as a template, reference for direct reproduction, or source material for a competing website or commercial presentation.
Scraping and Automated Extraction
Using bots, crawlers, scrapers, scripts, browser automation, data-mining software, or similar technology to systematically obtain DalMaydi Website content.
Recognized search engines may index publicly accessible pages solely for legitimate search-engine purposes in accordance with applicable technical instructions such as robots.txt.
Artificial Intelligence and Dataset Use
Using DalMaydi-owned Website content, photographs, graphics, text, product descriptions, brand stories, or other protected materials to train, fine-tune, evaluate, populate, enrich, or build an artificial-intelligence model, machine-learning system, commercial dataset, content-generation system, or competing digital service without prior written authorization.
Framing and Mirroring
Framing, mirroring, embedding, proxying, or reproducing all or a substantial portion of the Website on another domain, application, platform, or service.
Removal of Rights Information
Removing, obscuring, altering, or falsifying copyright notices, watermarks, metadata, credits, trademarks, ownership information, or other rights-management information.
Unauthorized Commercial Screenshots
Using screenshots or recordings of the Website in commercial presentations, advertising, sales materials, website-development portfolios, competitor presentations, templates, or promotional materials without authorization.
Viewing DalMaydi’s publicly available Website for normal informational purposes does not grant any right to reproduce or commercially exploit its materials.
4. LIMITED PERMISSION TO USE THE WEBSITE
DalMaydi grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable permission to access the publicly available Website for legitimate informational or business-evaluation purposes.
This permission does not transfer ownership of any intellectual property.
You may not commercially reproduce, distribute, publish, publicly display, modify, sell, license, sublicense, or exploit DalMaydi content without prior written authorization.

5. DALMAYDI NAME, LOGOS AND BRAND IDENTITY
The names DalMaydi, Dal Maydi, associated logos, brand marks, visual identities, product presentation, and other source-identifying elements are owned by or used under authority of DalMaydi.
Nothing on the Website grants you permission to use DalMaydi’s trade names, trademarks, logos, brand marks, domain name, or other branding.
You may not use DalMaydi branding in a manner that:
- Suggests sponsorship, affiliation, endorsement, or partnership without authorization;
- Creates confusion regarding the source of goods or services;
- Impersonates DalMaydi;
- Diverts customers or business opportunities through misleading branding;
- Is used in competing advertising or marketing; or
- Damages or dilutes the DalMaydi brand.
6. ENFORCEMENT OF INTELLECTUAL PROPERTY RIGHTS
DalMaydi reserves the right to actively protect and enforce its intellectual-property rights.
Where DalMaydi reasonably believes that Website materials have been copied, scraped, reproduced, cloned, adapted, distributed, or otherwise misused, DalMaydi may pursue any remedies available under applicable law.
Depending upon the circumstances, these remedies may include requests for removal, platform complaints, hosting-provider notices, search-engine complaints, cease-and-desist demands, injunctive relief, claims for damages, recovery of profits attributable to infringement, legal costs where recoverable, and other civil or legal remedies.
DalMaydi may preserve Website archives, timestamps, source materials, design files, server information, metadata, digital records, and other evidence for the purpose of documenting ownership and potential infringement.
Nothing in these Terms limits any intellectual-property rights or remedies independently available to DalMaydi under applicable copyright, trademark, unfair-competition, passing-off, database, contractual, or other laws.
7. REPORTING UNAUTHORIZED USE

8. PRODUCT INFORMATION
DalMaydi makes reasonable efforts to provide accurate information regarding its products, botanical species, sourcing, origin, formats, specifications, availability, and potential applications.
However, natural botanical products may vary between harvests and production batches.
Images, descriptions, colors, appearance, grades, aroma descriptions, packaging, specifications, dimensions, availability, and other information displayed on the Website are illustrative or informational unless expressly incorporated into a final written commercial agreement.
For a specific transaction, applicable certificates of analysis, technical specifications, approved samples, order confirmations, quotations, invoices, supply agreements, and other transaction-specific documentation will control where they differ from general Website information.
DalMaydi may modify its products, specifications, packaging, sourcing, availability, or Website descriptions without prior notice.
9. NO MEDICAL OR PROFESSIONAL ADVICE
Information concerning frankincense, myrrh, essential oils, resins, botanicals, aroma, cosmetics, wellness applications, traditional uses, or other product applications is provided for general informational and commercial sourcing purposes.
Nothing on the Website constitutes medical, pharmaceutical, therapeutic, diagnostic, nutritional, legal, regulatory, or other professional advice.
No statement on the Website should be interpreted as a representation that any DalMaydi product is intended to diagnose, treat, cure, or prevent any disease unless expressly permitted and substantiated under applicable law.
Professional buyers are responsible for evaluating the suitability, safety, formulation requirements, labeling, claims, testing, and regulatory status of materials for their intended application and market.
10. QUOTATIONS AND BUSINESS INQUIRIES
Submitting a contact form, requesting a quotation, requesting a sample, sending an email, or otherwise communicating with DalMaydi through the Website does not by itself create a contract, purchase order, distributorship, agency relationship, exclusivity arrangement, or obligation to supply.
Any quotation provided by DalMaydi is subject to its stated validity period, availability, specifications, quantities, payment terms, shipping arrangements, destination, regulatory considerations, and any other conditions included with the quotation.
A commercial transaction becomes binding only when accepted in accordance with the applicable quotation, purchase order acceptance, pro forma invoice, supply agreement, order confirmation, or other written terms issued or accepted by DalMaydi.
If there is a conflict between these Website Terms and a separately executed commercial agreement governing a particular transaction, the separately executed commercial agreement will control with respect to that transaction.
11. WEBSITE PRICES AND PLACEHOLDER VALUES
The Website is operated primarily as a B2B informational and quotation platform.
Any price, zero value, “Dhs. 0.00” amount, placeholder amount, sample figure, estimated quantity, or other value inadvertently or technically displayed on the Website must not be interpreted as a binding offer to sell a product for that amount.
In particular, a product displayed at zero or without a commercial price is not being offered free of charge.
Actual pricing is provided through DalMaydi’s quotation process unless expressly stated otherwise in writing.
12. INTERNATIONAL TRADE AND REGULATORY COMPLIANCE
DalMaydi serves professional and international buyers.
Different countries and territories may impose different requirements concerning the importation, exportation, possession, processing, formulation, labeling, packaging, marketing, distribution, or sale of botanical materials, essential oils, and natural resins.
Unless expressly agreed otherwise in writing, buyers are responsible for determining whether a product is lawful and suitable for importation, processing, marketing, and use in their destination jurisdiction.
The availability of information about a product on the Website does not represent that the product is approved, registered, lawful, or suitable for every country, market, or intended use.

To the maximum extent permitted by applicable law, DalMaydi and its owners, directors, officers, employees, representatives, affiliates, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or connected with use of, inability to use, or reliance upon the Website.
This includes, without limitation, loss of profits, loss of revenue, lost opportunities, loss of anticipated savings, loss of goodwill, loss of data, business interruption, or other commercial losses.
Where liability arising solely from use of the Website cannot lawfully be excluded, DalMaydi’s aggregate liability will, to the maximum extent legally permitted, not exceed AED 1,000.
These Website limitations do not replace or modify any liability provisions contained in a separate written commercial agreement between DalMaydi and a customer.
Nothing in these Terms excludes liability where exclusion would be prohibited by applicable law.
19. INDEMNIFICATION
To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless DalMaydi and its owners, officers, employees, affiliates, and representatives from third-party claims, losses, liabilities, damages, costs, and reasonable legal expenses arising from your unlawful use of the Website, your infringement of third-party rights, your unauthorized use of DalMaydi intellectual property, your violation of these Terms, or information you submit through the Website.
20. INJUNCTIVE AND EQUITABLE RELIEF
You acknowledge that unauthorized copying, distribution, disclosure, scraping, commercial exploitation, or misuse of DalMaydi’s intellectual property may cause damage that cannot always be adequately remedied through monetary damages alone.
Accordingly, where permitted by law, DalMaydi may seek temporary, preliminary, or permanent injunctive or other equitable relief to prevent or stop actual or threatened unauthorized use, in addition to any other remedies available to it.
21. PRIVACY
Use of the Website may involve the collection and processing of personal information submitted through contact forms, quotation requests, newsletter subscriptions, analytics technology, cookies, or other Website functionality.
Such information will be handled in accordance with DalMaydi’s applicable Privacy Policy and applicable law.

22. COPYRIGHT AND THIRD-PARTY RIGHTS
DalMaydi respects the intellectual-property rights of others.

Nothing in these Terms is intended to restrict lawful rights that cannot be contractually waived or restricted under applicable law.

Your continued use of the Website after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.
24. TERMINATION OR RESTRICTION OF ACCESS
DalMaydi may restrict or terminate your access to the Website where we reasonably believe you have violated these Terms, infringed our intellectual-property rights, attempted unauthorized access, misused Website resources, or engaged in conduct harmful to DalMaydi or another person.
Provisions concerning intellectual property, disclaimers, liability, indemnification, dispute resolution, and other provisions that by their nature should survive termination will remain effective.
25. GOVERNING LAW AND JURISDICTION
These Terms and any dispute arising out of or relating to the Website, its content, or these Terms will be governed by the applicable laws of the United Arab Emirates, as applied in the Emirate of Dubai, without prejudice to any mandatory legal protections that cannot lawfully be excluded.
Unless another forum is required by mandatory law or agreed in a separate written commercial agreement, the competent courts of Dubai, United Arab Emirates shall have exclusive jurisdiction over disputes relating to these Terms or use of the Website.
DalMaydi nevertheless reserves the right, where permitted by applicable law, to seek urgent, injunctive, intellectual-property, or protective relief in any jurisdiction where infringement or misuse occurs.
26. SEVERABILITY
If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will continue in full force and effect.
27. NO WAIVER
Failure by DalMaydi to enforce any provision of these Terms or exercise any right does not constitute a waiver of that provision or right.
Any waiver must be expressly made by DalMaydi.
28. ASSIGNMENT
You may not assign or transfer rights or obligations under these Terms without DalMaydi’s prior written consent.
DalMaydi may assign its rights and obligations in connection with a reorganization, acquisition, sale, transfer of business, corporate restructuring, or transfer of the Website or relevant intellectual property.
29. ENTIRE AGREEMENT REGARDING WEBSITE USE
These Terms, together with the Privacy Policy and any other policies expressly incorporated by reference, constitute the agreement between you and DalMaydi regarding general use of the Website.
Separate quotations, invoices, purchase orders, supply agreements, distribution agreements, confidentiality agreements, or other written commercial arrangements may impose additional or different terms relating to specific business transactions.
